1.) We will be paid pursuant to the ECS standard payment schedule (if desired, we will contact ECS for a confirmation of this amount). For partial periods, payment is prorated. Payments are
twice a year, once after each period.
2.) We will additionally be paid the standard percentage (per ECS' payment schedule) of any
amounts received from NYISO as energy payments during an actual emergency event.
3.) We will not be subject to financial penalties by participating in this program, even if we fail to
reduce electricity when called upon. Further, we ARE paid to the extent that we reduce electricity, even if less than the estimated curtailment projected.
4.) ECS will install an interval meter at no cost to us. In fact, ECS will never charge us for any service under this Application. ECS will install the meter for free; will collect and host the data
for free; and will repair the meter if necessary for free.
5.) ECS will maintain no control over when and how we reduce electricity when called upon. We
will make best efforts to reduce electricity when requested. Upon our request, ECS will provide us with an estimate of how much electricity we could reduce.
6.) If we utilize an on-site generator, we will also be paid for the fuel cost to run the generator during the NYISO Event or Test, as requested by ECS.
7.) ECS will give us a day-ahead notice of any request for reduction (If by 3:15 pm, then the earliest start time would be 20 hours after notice; If after 3:15 pm, then earliest start time would be 23 hours after notice).
8.) We agree to participate for the following 6 periods: Summer ’07, Winter ’07-08, Summer ‘08, Winter ’08-09, Summer ’09, Winter ’09-10. To ensure continuous enrollment, our participation will automatically be renewed in future periods with the same terms, unless we notify ECS in writing 25 days before the end of the then-current period. We authorize ECS to enroll us in NYISO’s various Demand Response Programs. Our payments are subject to the kW values we are certified at NYISO for as well as the clearing of our capacity in NYISO’s auctions.
